1. Description of Service
Ganttastic is operated by Lazarus Co Pty Ltd (ABN 53 697 874 258; ACN 697 874 258), a company registered in Australia. Ganttastic is a cloud-based project management and Gantt chart application designed to help individuals and teams plan, track, and manage their projects. The Service includes tools for task creation, scheduling, dependency management, collaboration, and reporting.
2. User Accounts & Responsibilities
- Account Creation: To access most features of the Service, you must register for an account. You agree to provide accurate, complete, and current information during the registration process.
- Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
- Your Responsibilities: You are solely responsible for your conduct, the content you create and upload ("Your Content"), and your communications with others while using the Service.
3. Subscriptions, Fees, and Payment
Plans, usage limits and pricing for the Service are described on our pricing page and may change with reasonable prior notice.
- Plans and Limits: The features, usage limits and prices for our self-service plans are set out on our pricing page and may change from time to time with notice. We may also offer a no-account Guest mode for trial use.
- Enterprise Plans: Enterprise plans are contracted on an annual basis and are billed by invoice or purchase order rather than by automatically renewing card payment, under a separate order form together with these Terms.
- Guest Access: Guest mode lets you try the Service without an account. Guest data is temporary: it is stored locally in your browser and only briefly on our systems, is automatically purged within approximately 30 days, and may persist in your browser until you clear it. Guest mode is not intended for any data you need to keep.
- Billing: For self-service paid plans, you are billed in advance on a recurring basis (for example monthly or annually) for the plan you select, and the subscription renews at the end of each billing cycle unless you cancel. Enterprise plans are billed by invoice or purchase order as described above.
- Cancellation and Refunds: You can cancel a self-service subscription at any time from your account settings or by contacting us. Cancellation stops future billing; your paid access continues until the end of the period you have already paid for and is not renewed after that. We do not apply a blanket "no refunds" position. Nothing in these Terms limits any rights or remedies you have under the Australian Consumer Law, including the consumer guarantees, which prevail to the extent of any inconsistency. Where a refund is required by law it will be provided, including on a pro-rata basis where applicable.
- Payment Processing: We use a third-party, PCI-compliant payment processor to handle self-service card payments. We do not collect, store, or have access to your sensitive payment card details. Our payment processor securely handles your information and provides us with a non-sensitive token to manage your subscription. By providing payment information, you agree to the terms of our third-party payment processor.
- Price Changes: We reserve the right to change our subscription fees. We will provide you with reasonable prior notice of any price change so you have an opportunity to cancel before the change takes effect.
4. Content Ownership, Hosting, and License
- Data Hosting in Australia: Your account data and Your Content are stored at rest in Google Cloud's Sydney region (australia-southeast1) in New South Wales, Australia. Stateless application compute that serves requests runs in Google's Singapore region (asia-southeast1) and reads from and writes to the Australian database. Your primary project data is stored at rest in Australia. Certain limited processing does occur outside Australia: (a) content you submit to optional AI features is processed by Google and may occur outside Australia, as described in our Privacy Policy, and (b) diagnostic and error-telemetry data is processed by a sub-processor outside Australia under contractual data-protection safeguards. All such overseas processing is disclosed in our sub-processor information. By using Ganttastic, you consent to your data being handled on this basis in accordance with our Privacy Policy and the Privacy Act 1988 (Cth).
- You Own Your Content: You retain full ownership of all the project data, text, files, and other materials you create or upload to the Service ("Your Content").
- Our License to You: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
- Your License to Us: To operate and provide the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, host, and store Your Content. This license is solely for the purpose of providing, improving, and securing the Service and is not for any other purpose.
- AI Features: The Service includes optional artificial-intelligence features that use Google's Gemini models via Google as our service provider. When you use an AI feature, the content you submit for that request is sent to Google to generate the response and may be processed by Google outside Australia, as described in our Privacy Policy. You retain ownership of Your Content and we do not use Your Content to train our own models. AI-generated output may be inaccurate or incomplete; it is provided as a drafting aid and you are responsible for reviewing it before you rely on it.
5. Acceptable Use Policy
Your use of the Service must be lawful and must comply with this Acceptable Use Policy. You agree that you will not:
- Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
- Upload, post, or share any content that is unlawful, defamatory, abusive, harassing, obscene, fraudulent, or that infringes on any third party's intellectual property or privacy rights.
- Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
- Engage in any activity that is harmful to the Service, our users, or our systems, including uploading or transmitting viruses, malware, or any other malicious code.
- Attempt to gain unauthorized access to the Service, other users' accounts, or our computer systems.
- Scrape, spider, or use other automated data-gathering methods to access the Service, unless expressly permitted by us.
We reserve the right, in our sole discretion, to suspend or terminate your account and remove Your Content if you violate this policy, without notice or liability.
6. Intellectual Property
All rights, title, and interest in and to the Service itself (including but not limited to software, text, graphics, logos, and branding) are and will remain the exclusive property of Lazarus Co PTY LTD. The Service is protected by copyright, trademark, and other intellectual property laws of Australia and applicable international treaties.
7. Termination
- By You: You can terminate these Terms at any time by cancelling your subscription and ceasing use of the Service.
- By Us: We may suspend or terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately. If you breach these Terms, we may terminate your account, and you will remain liable for all amounts due up to and including the date of termination.
8. Disclaimers and Limitation of Liability
Australian Consumer Law: Nothing in these Terms attempts to modify or exclude the conditions, warranties and undertakings, and other legal rights, under the Australian Competition and Consumer Act 2010 (Cth) and other laws. Any and all other warranties or conditions which are not guaranteed by the Australian Consumer Law are expressly excluded where permitted, except to the extent such warranties and conditions are fully expressed in these Terms.
SUBJECT TO YOUR RIGHTS UNDER THE AUSTRALIAN CONSUMER LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL LAZARUS CO PTY LTD, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
9. General Legal Provisions
- Governing Law: These Terms shall be governed by the laws of the State of New South Wales, Australia, without regard to its conflict of law provisions.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
- Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Lazarus Co PTY LTD regarding the Service and supersede all prior agreements.
- Changes to Terms: We reserve the right to modify these Terms at any time. We will provide notice of any significant changes by posting the new Terms on the Site or via email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
